Focus/Memo

Terms of Service

Last updated: September 16, 2026

These terms cover your use of FocusMemo, a tradename of Strategic Marketing Group, LLC (“we,” “us”). Plain language, and they describe the service as it exists today.

1. What FocusMemo is right now

FocusMemo is in pre-release. It works and it is in real daily use, but it is not yet publicly launched: features change, and things may occasionally break. Use it accordingly.

2. Your account

You need an account to use the app. Keep your password to yourself, give us an email address you actually control, and tell us promptly if you think someone else has got into your account. You’re responsible for what happens under your account. If you invite other people into your organization, you’re responsible for who you invite.

3. Using it reasonably

Don’t use FocusMemo to break the law, to store or distribute material you have no right to, to attack or overload the service or attempt to reach data that isn’t yours, or to resell access. We may suspend an account that does.

4. Your content is yours

Everything you put into FocusMemo — tasks, notes, files, reflections — belongs to you. We claim no ownership of it. We access it only as needed to operate the service, to fix a problem you’ve reported, or where the law requires it. We do not use it to train AI models, and we do not sell it.

5. Accounts you connect

If you connect Google Drive, Dropbox, OneDrive, or Apple Calendar, your use of those services stays governed by their own terms. FocusMemo acts on those accounts only as you direct — writing files you attach, syncing events you create. Removing an attachment, or deleting a task or workspace, removes the files from FocusMemo, not from your cloud account, unless you separately ask for both. Files stored in your own cloud account remain yours and stay there if you stop using FocusMemo.

6. Availability

We do not promise any particular uptime while the service is in pre-release. We may change, suspend, or discontinue features. If we plan to discontinue the service altogether, we will give account holders reasonable notice and time to export their data.

7. What it costs

FocusMemo is currently free. Paid plans are planned. If we introduce them we will say so in advance, and we will not start charging an existing account without notice and an explicit choice to subscribe.

8. Ending it

You may stop using FocusMemo and ask us to delete your account at any time — see the Privacy Policy. We may suspend or close an account that breaches these terms. Your files in your own connected storage are unaffected either way.

9. No warranty

FocusMemo is provided “as is,” without warranties of any kind, express or implied. We do not warrant that it will be uninterrupted, error-free, or that it will suit any particular purpose. Keep your own backups of anything you can’t afford to lose.

10. Limits on liability

To the fullest extent the law allows, we are not liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or business interruption arising from your use of FocusMemo. Where liability cannot be excluded, it is limited to $100 USD, or the amount you paid us in the twelve months before the claim arose, whichever is greater.

11. Changes to these terms

We may update these terms. Material changes will be announced by email to account holders, with the date at the top updated.

12. Governing law

These terms are governed by the laws of the State of Maryland, and disputes will be handled by the courts of Maryland.
